Catalyst Inc. Terms and Conditions of Event Contribution (the “Agreement”) (United States)
- General Terms
These Terms and Conditions of Event Contribution (the “Agreement”) govern the payment for and use of: (a) event tables (each, a “Table”); and/or (b) sponsorship of an event (each, a “Sponsorship”) by the donor (“Donor”) from Catalyst Inc. (“Catalyst”) for online or in-person events, including but not limited to webinars, conferences, and dinner galas (each, an “Event”), as described in the related purchase order, invoice, prospectus, and/or webpage (each referred to herein as the “Opportunities”).
This Agreement shall be effective upon the sooner to occur of: (1) Donor agreeing to the terms of this Agreement in the Opportunities; (2) Donor’s payment of the Contribution to Catalyst, or (3) Donor attending the Event described in the Opportunities referencing this Agreement.
- Table and Sponsorship Contributions
Payment for a Table or Sponsorship is a charitable donation to Catalyst in support of Catalyst’s mission and initiatives.
Donor will pay the amount stated in the Opportunities (the “Contribution”) to provide support for Catalyst’s mission and initiatives, and Catalyst will provide Donor with the corresponding opportunities set forth in the Opportunities for the Event.Donor must be at least 18 years old to make a Contribution. If Donor is making a Contribution on behalf of someone else, Donor represents and warrants that Donor has their consent and authority to do so.
- Tax Deductibility
Catalyst is a not-for-profit organization organized under Section 501(c)(3) of the Internal Revenue Code. Tables are unrestricted donations and Sponsorships are restricted donations to Catalyst that are tax deductible as a charitable contribution under Section 170(a) of the Internal Revenue Code. Any value of return benefits, such as meals or Tickets, as provided on the Opportunities, in exchange for the payment of Donor are goods and services excluded from the qualified charitable tax-deductible amount in accordance with law. Donor should rely on its own tax advice regarding the treatment of payments as charitable or business expense deductions. - Termination; Event Postponement or Cancellation
This Agreement will expire upon completion of the Event and payment of the Contribution.
In the event of Event postponement due to circumstances beyond Catalyst’s control (such as natural disasters, acts of terrorism, or public health emergencies), Catalyst will make commercially reasonable efforts to reschedule the Event or offer alternative options to Donor.
In the event that Catalyst needs to convert an in-person portion of an Event to a virtual format or cancel the Event, due to circumstances beyond Catalyst’s control (such as natural disasters, acts of terrorism, or public health emergencies), Catalyst and Donor will discuss in good faith which Opportunities will be provided to Donor, and when, so as to endeavor to promote Donor’s support for Catalyst. Notwithstanding the foregoing, it being understood that Tables and Sponsorship are primarily to provide charitable support for Catalyst and in recognition of the Opportunities, Donor’s obligations with respect to Tables and Sponsorship Contributions shall not be excused or suspended and, accordingly, Donor shall pay the full amount thereof to Catalyst.
- Liability and Disclaimer
Catalyst and its affiliates, employees, directors, or agents shall not be liable for any loss, injury, damage, or expense arising from the donation for or use of Tables or Sponsorship Opportunities, or attendance at the Event.
Catalyst does not guarantee the accuracy, completeness, or suitability of the information provided about the Event, including but not limited to the Event description, schedule, or speakers.
Catalyst’s obligation to provide Donor with any Opportunities related to use of Donor’s logo, trademark, tradenames, videos, websites or similar items in promotional materials or Event signage is dependent upon Donor executing Catalyst’s standard event release in a timely manner.
Catalyst’s Terms of Use | Catalyst are hereby incorporated into this Agreement by reference. Collection of personal data for Table or Sponsorship Contributions is governed by Privacy Notice | Catalyst.
- Catalyst’s Proprietary Rights
Catalyst and/or our licensors and suppliers own the Event content, including recordings and photographs thereof, along with any information or materials made available to you in connection with the Event (“Event Content”). The Event Content is protected by copyright, trademark, patent and/or other proprietary rights and laws. You agree not to reproduce, modify, sell, distribute, or create derivative works based on, all or any part of the Event Content.
Trade names, trademarks, and service marks used in connection with the Event, including the Catalyst logo are owned by Catalyst, Catalyst’s licensors or other respective owners. Nothing contained in this Agreement or in connection with the Event should be construed as granting, any license or right to use any such trade names, trademarks, or service marks without the express prior written consent of the owner.
- Miscellaneous
Headings are for convenience only. This Agreement shall be governed by the laws of the State of New York. Any disputes arising under this Agreement shall be brought exclusively in the federal or state courts located within the County of New York, State of New York and the parties waive any objection to the jurisdiction or venue of such courts. This Agreement and the Opportunities constitute the complete, exclusive and final expression of the agreement between the parties, and supersedes all prior discussions, understandings and agreements between them, with respect to the subject matter hereof. This Agreement shall prevail over any Donor general terms and conditions regardless of when the Donor has submitted its request for such terms. In the event of a conflict or ambiguity between this Agreement and the Opportunities, this Agreement shall prevail. The provision of Tables or Sponsorship Opportunities to Donor does not constitute acceptance of any of Donor’s terms and conditions and does not serve to modify or amend these terms. Sections 5-7 shall survive termination or expiration of this Agreement.
